תנאים אלה מסדירים את השימוש באתר ובשירותים של Netcure Computers Ltd ("Netcure", "אנחנו"). השימוש בשירותים מהווה הסכמה לתנאים אלה. אם אינכם מסכימים — אנא הימנעו משימוש.These terms govern the use of the website and services of Netcure Computers Ltd ("Netcure", "we"). Using the services constitutes acceptance of these terms. If you do not agree, please refrain from using them.

1. השירותים1. The services

Netcure מספקת פתרונות תשתית ו-IT (אינטרנט, ענן, גיבוי, ציוד) ופלטפורמת-תוכנה לניהול תקשורת-לקוחות בוואטסאפ, דרך ה-WhatsApp Business Cloud API הרשמי. היקף השירות הספציפי נקבע בהסכם ההתקשרות עם כל לקוח.Netcure provides infrastructure and IT solutions (internet, cloud, backup, hardware) and a software platform for managing customer communication on WhatsApp, via the official WhatsApp Business Cloud API. The specific scope is defined in each client's engagement agreement.

2. שימוש מותר ואחריות המשתמש2. Acceptable use & your responsibilities

• לפעול בהתאם למדיניות של WhatsApp/Meta ולכל דין רלוונטי.Comply with WhatsApp/Meta policies and all applicable law.
• לקבל את ההסכמות הנדרשות מנמעני-ההודעות, ולא לשלוח דיוור לא-מבוקש (ספאם).Obtain the required consent from message recipients, and not send unsolicited messages (spam).
• לא להשתמש בשירות לתוכן בלתי-חוקי, פוגעני או מפר-זכויות.Not use the service for unlawful, harmful or infringing content.
• לשמור על סודיות פרטי-הגישה לחשבון ולהיות אחראים לפעילות בו.Keep account credentials confidential and be responsible for activity under the account.

3. קניין רוחני3. Intellectual property

כל הזכויות באתר, בפלטפורמה, בקוד ובעיצוב שמורות ל-Netcure. אין להעתיק, לשכפל או להפיץ ללא אישור בכתב. תוכן שהלקוח מזין נותר בבעלותו.All rights in the website, platform, code and design belong to Netcure. No copying, reproduction or distribution without written permission. Content entered by the client remains the client's property.

4. זמינות ואחריות4. Availability & warranty

אנו שואפים לזמינות גבוהה אך איננו מתחייבים לשירות ללא-הפרעות. השירות ניתן "כפי שהוא" (AS IS), למעט התחייבויות מפורשות בהסכם ההתקשרות. תלות בצדדים שלישיים (כגון Meta/WhatsApp וספקי-תקשורת) עשויה להשפיע על הזמינות.We aim for high availability but do not guarantee uninterrupted service. The service is provided "AS IS", except for explicit commitments in the engagement agreement. Reliance on third parties (such as Meta/WhatsApp and telecom providers) may affect availability.

5. הגבלת אחריות5. Limitation of liability

ככל שהדין מתיר, Netcure לא תישא באחריות לנזקים עקיפים, תוצאתיים או אובדן-רווחים הנובעים מהשימוש בשירות. אחריותנו הכוללת לא תעלה על הסכומים ששולמו בפועל עבור השירות בתקופה הרלוונטית.To the extent permitted by law, Netcure shall not be liable for indirect, consequential or lost-profit damages arising from use of the service. Our total liability shall not exceed the amounts actually paid for the service in the relevant period.

6. פרטיות6. Privacy

השימוש בשירות כפוף גם למדיניות הפרטיות שלנו, המהווה חלק בלתי-נפרד מתנאים אלה.Use of the service is also subject to our Privacy Policy, which forms an integral part of these terms.

7. סיום ההתקשרות7. Termination

כל צד רשאי לסיים את ההתקשרות בהתאם להסכם. במקרה של הפרה מהותית, אנו רשאים להשעות או להפסיק את השירות.Either party may terminate the engagement per the agreement. In case of a material breach, we may suspend or terminate the service.

8. דין וסמכות שיפוט8. Governing law & jurisdiction

על תנאים אלה יחולו דיני מדינת ישראל, וסמכות השיפוט הבלעדית תהיה נתונה לבתי-המשפט המוסמכים במחוז המרכז.These terms are governed by the laws of the State of Israel, and the competent courts in the Central District shall have exclusive jurisdiction.

9. שינויים9. Changes

אנו רשאים לעדכן תנאים אלה מעת לעת. גרסה מעודכנת תפורסם בעמוד זה עם תאריך-עדכון חדש.We may update these terms from time to time. An updated version will be posted on this page with a new update date.
